Role:

We are seeking an experienced Senior Commercial Counsel with expertise in healthcare and artificial intelligence in the digital healthcare industry. You will own the process of drafting, reviewing, revising and negotiating customer and vendor contracts, and more.

You will drive this work in partnership with other members of the team and cross-functionally with key stakeholders in commercial/growth, product, clinical and finance. In addition, you will help build and manage the full contract lifecycle and drive operational excellence across legal processes. This role combines traditional drafting and negotiating responsibilities with contract operations support and is critical to ensuring the business success of a rapidly growing company.

Key Responsibilities:

Draft and review a wide range of agreements, including:

  • Customer master services agreements and statements of work
  • SaaS and technology agreements (including AI/ML solutions)
  • data use, data sharing and licensing agreements
  • business associate agreements
  • vendor, procurement, and partnership agreements

In addition:

  • Ensure regulatory compliance with HIPAA, HITECH, state level data privacy laws, and other laws applicable to digital health/telemedicine companies
  • Identify opportunities for templates; draft and participate in template revision and creation
  • Identify business risks associated with commercial terms and propose mitigation strategies, including those associated with AI solutions and products
  • Facilitate and compile stakeholder reviews of complex agreements from Business, Product, Privacy and Security, Finance, and other teams as necessary
  • Track and assert the company’s preferred position on contract terms and conditions
  • Educate contract stakeholders on risk spectrum of non-standard contract terms and conditions
  • Draft internal guidance documents and train employees on key issues
  • Keep informed of applicable laws, regulations and industry guidance that impact commercial agreements
  • Support the evaluation of new business opportunities and regulatory implications at federal and state level, including Anti-Kickback, Stark Law, fee-splitting laws, corporate practice of medicine
  • In coordination with compliance, advice the company on privacy laws, including HIPAA, CCPA, and state frameworks and where they intersect with commercial and vendor contracts

What Makes You a Great Fit

Expertise and Experience:

  • Juris Doctor (JD) degree and an active bar license in at least one state.
  • 5-7+ years relevant experience in a transactional or contracts-based practice, with in-house digital health/telemedicine experience preferred
  • Experience presenting ideas to various levels within an organization, bringing together internal stakeholders and help with managing customer and vendor relationships
  • Strong negotiation skills, with the ability to work in a fast-paced environment
  • Excellent organizational skills and the ability to collect, analyze and synthesize data
